Terms

Terms of Service

We value transparency. That means avoiding unnecessary legal language and keeping these Terms of Service as clear and practical as possible.

By accessing or using Elasticnote, you agree to these terms.

Accounts

Elasticnote can be used without an account for many local-first features.

Some features may require an Elasticnote account, authentication, a licence, a subscription, or connection to a third-party service.

Your account credentials are your responsibility.

We take account security seriously and use reasonable measures to protect accounts from our side, but we cannot protect credentials that are exposed through your email account, browser, device, password manager, personal notes, or by sharing them with another person.

You are responsible for keeping your login credentials secure.

You may not share your Elasticnote account with another person unless we explicitly provide a feature or plan that permits account sharing.

Your account may contain information including:

  • personal information;
  • licence or subscription entitlements;
  • purchase information;
  • preferences;
  • connected services; and
  • access to premium features.

For this reason, you should not allow another person to access your account.

We may suspend, restrict, or terminate an account where we reasonably believe that:

  • the account has been compromised or is insecure;
  • these Terms of Service have been violated;
  • our Privacy Policy has been violated;
  • the account is being used fraudulently or unlawfully;
  • the account is being used to interfere with or damage Elasticnote, its infrastructure, users, or services; or
  • action is reasonably necessary to protect Elasticnote or other users.

Where reasonably possible, we will try to provide notice before terminating an account unless immediate action is required for security, fraud prevention, legal, or operational reasons.

Lifetime access

Where Elasticnote offers a one-time purchase described as Lifetime, Lifetime Access, Lifetime Pro, or similar wording, "lifetime" refers to the lifetime of the relevant Elasticnote product or service.

It does not mean the lifetime of the purchaser.

A Lifetime licence provides access to the features included with that licence for as long as the relevant Elasticnote product or service continues to exist and be offered.

Elasticnote may change, improve, replace, restructure, or discontinue individual features as the product develops.

A Lifetime licence does not guarantee that every integration, AI provider, external service, feature, model, API, or third-party dependency available at the time of purchase will remain available permanently.

Where a feature depends on a third-party provider, its continued availability may also depend on that provider.

Subscription plans

Where Elasticnote offers a recurring monthly or other subscription plan, access to the paid features included with that plan continues while the subscription remains active and payments remain current.

If you cancel a subscription, premium access may continue until the end of the period already paid for unless otherwise stated at the time of purchase.

After the paid period ends, your account may revert to the features available under the applicable free or non-subscribed plan.

Local-first data

Elasticnote is designed to be local first.

Depending on the feature being used, your notebooks, notes, research materials, Markdown files, LaTeX projects, documents, uploaded files, generated content, project files, API keys, AI data, application data, and other workspace information may remain stored locally in your browser, device, local filesystem, or browser-supported storage.

Elasticnote may never receive or have access to data that remains exclusively on your device.

We may therefore be unable to restore that data if it is deleted or lost.

You are responsible for maintaining appropriate backups of important local data.

Actions that may remove locally stored data include:

  • clearing browser storage;
  • deleting application data;
  • deleting or moving local files;
  • changing browser profiles;
  • resetting or reinstalling your browser;
  • changing devices;
  • removing filesystem permissions;
  • losing access to a connected local folder; or
  • deleting browser databases or caches.

Elasticnote cannot restore information that was never transmitted to or stored by Elasticnote.

Cloud storage integrations

Elasticnote may allow you to connect external storage services, including services such as:

Dropbox · Google Drive · Microsoft OneDrive · GitHub · Local folders

These integrations are optional.

When you connect one of these services, Elasticnote may read, write, synchronise, or manage files within the scope you have authorised.

Your use of those services remains subject to the applicable provider's own Terms of Service, Privacy Policy, account restrictions, storage limits, security policies, and availability.

Elasticnote does not control third-party storage providers and cannot guarantee that their services will remain continuously available.

You are responsible for maintaining appropriate backups of important information stored through third-party services.

AI features

Elasticnote may provide features that use local or third-party artificial intelligence models.

AI-generated output may be inaccurate, incomplete, outdated, misleading, inappropriate, or unsuitable for your particular circumstances.

You are responsible for reviewing and verifying AI-generated or AI-assisted content before relying on it.

Elasticnote should not be treated as a substitute for qualified professional advice in areas including medicine, law, finance, safety, or other high-risk decisions.

Local AI

Where Elasticnote supports local AI, compatible models may operate directly on your own device.

The quality, speed, compatibility, and availability of local AI may depend on your device, installed software, selected models, and configuration.

Bring Your Own Key

Where Elasticnote allows you to connect your own AI provider through a Bring Your Own Key (BYOK) feature, your use of that provider is also subject to that provider's:

  • terms;
  • pricing;
  • rate limits;
  • privacy practices;
  • data retention policies; and
  • usage policies.

Elasticnote does not control third-party AI providers and cannot guarantee their continued availability, pricing, model behaviour, or service quality.

You are responsible for protecting your own API keys and monitoring any charges associated with your external AI provider account.

Terminal and developer tools

Elasticnote may provide advanced project tools including a terminal, command-line environment, scripts, Git, Python, LaTeX tooling, or similar functionality.

These tools may allow you to execute commands, install software, manipulate files, communicate with external services, or perform other advanced operations.

You are responsible for commands you run and software you execute.

Incorrect commands may delete files, change project data, expose credentials, modify repositories, or otherwise affect your workspace.

Elasticnote is not responsible for damage caused by commands, scripts, packages, code, or third-party software that you choose to execute.

Your content

You retain ownership of content that you create, upload, import, generate, or store using Elasticnote.

This may include:

  • notes;
  • notebooks;
  • research;
  • documents;
  • Markdown content;
  • LaTeX projects;
  • datasets;
  • citations;
  • images;
  • diagrams;
  • uploaded resources;
  • generated files;
  • code;
  • project files; and
  • other material.

Using Elasticnote does not transfer ownership of your content to us.

You are responsible for ensuring that you have the legal right to use, upload, process, publish, distribute, or otherwise work with content through Elasticnote.

Where a feature requires server-side processing, you give Elasticnote the limited permission necessary to process the relevant content solely for the purpose of providing the requested feature.

Content removal

In some circumstances we may need to remove, restrict, block, or disable content or access to a feature.

This may happen for reasons including:

  • legal requirements;
  • security;
  • copyright;
  • abuse;
  • technical problems; or
  • violations of applicable policies.

Because Elasticnote is local first, we may not be technically able to inspect, access, or remove content that exists exclusively on your device or in a third-party service we do not control.

Purchase methods

Payments and licence fulfilment may be processed through Payhip or another payment provider displayed at checkout.

Payment providers may process information such as your:

  • name;
  • email address;
  • payment information;
  • transaction details;
  • licence information; and
  • billing information.

Those providers process information according to their own Terms of Service and Privacy Policies.

Elasticnote does not normally receive or store your complete payment card details where payment is handled by an external payment provider.

Refunds

Any refund period or eligibility stated on the Elasticnote checkout page, pricing page, or payment provider page at the time of purchase forms part of the applicable purchase terms.

Where a refund is approved, access to the refunded licence, subscription, entitlement, or premium features may be removed.

Refund requests may also be subject to the policies of the payment provider used to complete the transaction.

Nothing in these terms limits any refund, guarantee, or consumer rights that you are legally entitled to under applicable law.

Using Elasticnote at your own risk

Elasticnote is provided as a productivity, note-taking, research, writing, creation, project, and AI-assisted workspace.

You are responsible for how you use Elasticnote and for the content you create, import, process, generate, publish, or distribute.

We do not routinely review local user content for:

  • accuracy;
  • legality;
  • copyright compliance;
  • academic integrity;
  • factual correctness; or
  • suitability for a particular purpose.

We are not responsible for determining whether content created by a user or generated with AI assistance is truthful, accurate, original, lawful, or appropriate for a specific use.

You are responsible for reviewing your work before submitting, publishing, distributing, or relying on it.

Academic and research use

Elasticnote may be used for research, learning, writing, note-taking, study, citation management, and other academic activities.

You are responsible for following the rules that apply to you, including:

  • academic integrity requirements;
  • AI usage policies;
  • citation requirements;
  • assessment rules;
  • research ethics requirements;
  • employer policies;
  • publisher requirements; and
  • institutional policies.

Elasticnote does not guarantee that AI-generated or AI-assisted content complies with those requirements.

You should independently verify citations, references, factual claims, calculations, and research conclusions before relying on them.

Third-party websites and services

Elasticnote may contain links to, integrate with, or allow you to interact with third-party services.

These may include:

  • Dropbox;
  • Google Drive;
  • Microsoft OneDrive;
  • GitHub;
  • AI providers;
  • payment providers;
  • authentication services;
  • APIs;
  • code repositories;
  • infrastructure providers; and
  • other external resources.

Elasticnote does not own or control those services.

Your use of a third-party service is governed by the terms between you and that provider.

You should review the applicable provider's Terms of Service and Privacy Policy before using the service.

Elasticnote is not responsible for changes, outages, limitations, data loss, pricing changes, API changes, or other actions taken by third-party providers.

Availability

We aim to keep Elasticnote reliable and available, but we cannot guarantee uninterrupted or error-free operation.

Features may occasionally become unavailable due to:

  • maintenance;
  • upgrades;
  • security issues;
  • infrastructure failures;
  • third-party outages;
  • browser changes;
  • API changes;
  • software bugs; or
  • circumstances outside our reasonable control.

We may add, modify, replace, redesign, or remove features as Elasticnote develops.

Security

You must not attempt to:

  • gain unauthorised access to Elasticnote systems or another user's account;
  • bypass authentication, licensing, subscription, entitlement, or security controls;
  • deliberately interfere with Elasticnote infrastructure;
  • distribute malware or malicious code through the service;
  • access information without permission;
  • probe or exploit vulnerabilities in a way that may harm Elasticnote or its users; or
  • use Elasticnote for unlawful activity.

Good-faith security research should be reported responsibly rather than used to damage the service or obtain unauthorised access.

Policies concerning children

Elasticnote is not directed toward children under the age of 18.

We do not knowingly market or advertise Elasticnote to children.

If you believe that a person under the age of 18 has created an account or provided personal information to Elasticnote, please contact us so that we can review the situation and take appropriate action.

Updating these terms

We may update these Terms of Service as Elasticnote changes, new features are introduced, legal requirements change, or our business and technical practices evolve.

Minor changes may be made without individual notification.

Where we make a material change that significantly affects your rights or use of Elasticnote, we may notify registered users by email, through Elasticnote, or by another appropriate method.

Emails relating specifically to:

  • these Terms of Service;
  • our Privacy Policy;
  • account security;
  • purchases;
  • licences;
  • subscriptions; or
  • essential service matters

are transactional communications and are not marketing emails.

Continued use of Elasticnote after updated terms become effective constitutes acceptance of the updated terms to the extent permitted by applicable law.

Reporting content or abuse

If Elasticnote provides a reporting feature for the relevant content or activity, please use that feature.

If no reporting feature is available, contact us through the available support channel.

When reporting content, abuse, or security concerns, please provide enough information for us to understand and investigate the issue.

General support

For general support, account questions, billing enquiries, licence issues, security concerns, integration problems, or other matters, please contact us through the support options provided by Elasticnote.
